Digital Advertising Terms & Conditions
The American Association of Community Theatre (AACT) shall provide the digital advertising services (the "Services") as described in one or more mutually agreed-upon ways. Insertion orders do not guarantee availability and must be reviewed and approved by AACT.
Advertiser Obligations
- Advertiser Assets: Advertiser will provide all necessary materials, including brand guidelines, logos, trademarks, and other creative assets ("Advertiser Assets") in a timely manner and in the required formats. Advertiser grants AACT a limited license to use the Advertiser Assets solely for the purpose of performing the Services.
- Approvals: Advertiser is responsible for timely review and approval of all campaign plans, creatives, and orders. Delays in approval may impact campaign launch dates and performance. All advertising is subject to approval by AACT.
Payment Terms
- AACT will invoice Advertisers once order is approved. Payment is due within 14 days of the invoice date.
- Services will be denied if payment is not received by payment due date.
Term and Termination
- Either Party may terminate this Agreement with 30 days written notice to the other Party.
- Upon termination, Advertisers shall pay AACT for all Services rendered and expenses incurred up to the termination date.
Confidentiality
- Both Parties agree to hold each other's confidential information in confidence and not to use or disclose it except as necessary to perform under this Agreement. This obligation survives termination of the Agreement.
- Both Parties agree to comply with all applicable data protection and privacy laws, including but not limited to the GDPR, CCPA, and others as relevant.
